1. Acceptance of Terms

These Terms of Service (“Terms”) are a legally binding agreement between you and Service OS (Pty) Ltd (“Service OS”, “we”, “us”), governing your access to and use of the Service OS platform and related services (the “Service”).

By creating an account or using the Service, you confirm that you are at least 18 years old, have the authority to bind the business entity you represent, and agree to these Terms in full. If you do not agree, do not use the Service.

2. Description of Service

Service OS is a cloud-based business management platform for South African trade companies, providing job dispatch and tracking, team coordination via WhatsApp, client management, SARS-compliant quote and invoice generation, and related features.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable to you for any modification, suspension, or discontinuation.

3. Account Registration and Security

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately if you suspect unauthorised access to your account.
  • One account may represent one business entity. You may not share accounts between unrelated businesses.

4. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

  • Use the Service to send unsolicited or spam communications via WhatsApp or any other channel.
  • Add phone numbers to the Service without the valid consent of the individuals concerned.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to store or transmit illegal, defamatory, or harmful content.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or commercially exploit the Service without our written permission.
  • Misrepresent your identity or impersonate any person or entity.

We may suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this section.

5. WhatsApp and Meta Platform Usage

Service OS's WhatsApp features are powered by the Meta Cloud API. By enabling WhatsApp notifications you additionally agree to comply with:

You are solely responsible for obtaining any consents required to send WhatsApp messages to your clients and team members. Service OS will not be liable for any claim arising from your failure to obtain such consent.

WhatsApp message delivery is subject to Meta's infrastructure and policies. We do not guarantee message delivery and are not liable for undelivered messages or changes to Meta's platform that affect our features.

6. Subscription and Payment

Access to the Service is provided on a subscription basis. Pricing, billing cycles, and payment terms are as set out on our pricing page or in a separate order form agreed between the parties.

  • All fees are quoted and charged in South African Rand (ZAR) and are exclusive of VAT.
  • Subscriptions are billed in advance on a monthly or annual basis.
  • You authorise us to charge your nominated payment method automatically at the start of each billing period.
  • If payment fails, we may suspend access to the Service after providing 7 days' written notice.
  • Refunds are not provided for partial months or unused periods, unless required by applicable law.

We may change subscription prices with 30 days' advance notice. Continued use after the effective date constitutes acceptance of the new pricing.

7. Your Data

You retain ownership of all business data you upload or create within the Service (jobs, clients, invoices, quotes, etc.). You grant Service OS a limited licence to store, process, and transmit this data solely for the purpose of providing the Service.

You are responsible for the accuracy and legality of the data you enter into the Service. Service OS does not verify the correctness of invoices, quotes, tax calculations, or any other documents generated through the Service. You remain solely responsible for SARS compliance.

On account termination, you may request an export of your data within 30 days. After 30 days post-termination, we may permanently delete your data subject to legal retention requirements.

8. Intellectual Property

The Service, including all software, designs, trademarks, and content created by Service OS, is owned by Service OS (Pty) Ltd and protected by applicable intellectual property laws.

Nothing in these Terms transfers any intellectual property rights to you. You may not use our name, logo, or trademarks without prior written consent.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Service OS does not provide legal, tax, or financial advice. You should consult a qualified professional for such matters.

10. Limitation of Liability

To the maximum extent permitted by South African law, Service OS's total liability for any claim arising under or related to these Terms shall not exceed the fees paid by you to Service OS in the three months preceding the event giving rise to the claim.

Service OS will not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Service OS and its officers, directors, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service in violation of these Terms.
  • Your violation of any third-party rights, including privacy rights.
  • Your failure to obtain required consents for WhatsApp communications.
  • Inaccurate or unlawful data you submit to the Service.

12. Termination

Either party may terminate the subscription at any time. You may cancel via your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

We may terminate or suspend your account immediately, without prior notice, if you materially breach these Terms, become insolvent, or if required by law.

Upon termination, your right to access the Service ceases immediately. Sections 7, 8, 9, 10, 11, and 14 survive termination.

13. Changes to Terms

We may update these Terms at any time. We will provide at least 14 days' notice of material changes by email or via a notice within the Service. Continued use after the effective date constitutes your acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days.
